Dubai International Financial Centre
DIFC Company Setup, Accounting & Audit Services
DIFC is Dubai's common-law financial free zone, with its own courts and regulator (DFSA). Financial services entities here carry a higher compliance bar than most zones — audit and reporting quality matter more, not less.
Key facts
After setup, plan for corporate tax registration, monthly bookkeeping and the annual free zone audit, and check whether your income can qualify under the free zone corporate tax regime.
| Regulator | Dubai Financial Services Authority (DFSA) |
| Legal system | Common law, independent DIFC Courts |
| Typical activity | Financial services, fintech, wealth management, professional services |
| Audit requirement | Generally required annually for regulated entities |
| Reporting currency | Often USD, given the international client base |
| Liquidation creditor notice | Published in two newspapers (one Arabic), 45-day creditor claim period |
Accounting, audit & tax services in DIFC
DIFC-regulated entities face DFSA reporting obligations layered on top of standard UAE corporate tax and audit requirements — the two regimes need to be reconciled, not treated as separate exercises.
Setting up and running a company in DIFC
The Dubai International Financial Centre (DIFC) is a common-law financial free zone with its own courts, companies law and regulator. Financial services firms are licensed by the Dubai Financial Services Authority (DFSA); non-financial companies — holding companies, family offices, fintechs and professional firms — register with the DIFC Registrar of Companies. Both carry reporting obligations that are stricter than most free zones.
| Entity setup | Private company, branch, foundation or SPV registration with the DIFC Registrar; DFSA authorisation for regulated activities |
| Accounting records | Proper books kept to IFRS, with filings and confirmation statements to the Registrar |
| Regulatory reporting | DFSA prudential returns and audited financial statements for regulated firms |
| Tax registration | Corporate tax on EmaraTax; VAT where applicable |
| Annual audit | Statutory audit and, for DFSA firms, regulatory audit deliverables |
| Corporate tax return | Filed within 9 months of year-end |
Corporate tax & VAT for DIFC companies
A free zone company pays 0% corporate tax only on qualifying income and only while it meets every Qualifying Free Zone Person condition — adequate substance in the zone, audited financial statements, transfer pricing compliance and non-qualifying revenue within the de minimis limit (the lower of AED 5 million or 5% of revenue). Income from mainland customers and from individuals is generally non-qualifying.
Regulated banking and insurance are excluded activities, while fund management, wealth management and treasury activities can qualify when conditions are met. Holding companies and SPVs often rely on the participation exemption for dividends and gains, which still needs to be claimed and documented in the return.
